Consulting Payment & Service Terms

EffectiveOctober 11, 2026

Our public channels support consideration, scheduling, invoicing, and payment. The signed engagement documents define the actual consulting relationship, scope, fees, responsibilities, and protections.

01

Purpose and Acceptance

These Consulting Payment & Service Terms ("Terms") govern use of medicalbillingwithportia.com, consultation scheduling, Stripe-hosted invoices and payment pages, and other public or pre-engagement interactions with Medical Billing With Portia LLC DBA The Kingdom RCM Method™ ("MBWP," "we," "us," or "our"). By using these channels, scheduling a consultation, or paying an invoice, you agree to these Terms to the extent applicable to that interaction.

02

No Engagement Until Written Acceptance

Submitting an assessment, receiving an invitation, scheduling a consultation, receiving a proposal, or paying an invoice does not by itself require MBWP to accept an engagement unless the applicable written agreement expressly states otherwise. A consulting relationship begins only when the required proposal, master services agreement, statement of work, or other engagement document has been accepted by authorized representatives and any required initial payment has cleared.

If these Terms conflict with an executed agreement or statement of work, the executed agreement controls for that engagement. A BAA controls with respect to PHI.

03

Business-to-Business Services

MBWP provides customized revenue-cycle consulting, revenue recovery strategy, denial prevention, workflow improvement, staff training, KPI oversight, and executive revenue-infrastructure services to healthcare organizations. We do not provide medical care, legal advice, tax advice, or a guarantee of reimbursement, revenue, collection, payer action, or any particular financial result.

04

Scope, Client Responsibilities, and Change Control

The scope, deliverables, timeline, access requirements, responsibilities, assumptions, and acceptance criteria for paid work are defined in the applicable written agreement. The client is responsible for timely decisions, accurate business information, appropriate system access, qualified personnel, legal and regulatory compliance, and cooperation reasonably needed to perform the work.

Work outside the approved scope requires written authorization and may require revised fees, timing, or terms. MBWP is not responsible for delays or outcomes caused by incomplete information, inaccessible systems, third parties, payer conduct, client decisions, or circumstances outside our reasonable control.

05

Fees, Invoices, and Payment

Fees are stated in the applicable proposal, agreement, statement of work, or invoice. Unless a controlling agreement states otherwise, invoices are due within seven calendar days. Initial deposits, commencement fees, and specifically identified invoices may be due upon receipt. Payment must be made in U.S. dollars through an authorized method shown on the invoice.

Clients are responsible for accurate billing information and for any taxes, bank charges, currency costs, or other amounts expressly assigned to them by the controlling agreement or applicable law. Payment processing is provided by Stripe and is also subject to Stripe’s applicable terms and privacy practices.

06

Deposits, Retainers, Milestones, and Performance Fees

The treatment of deposits, retainers, milestone payments, recurring fees, travel, reimbursable expenses, and performance- or KPI-based compensation is governed by the applicable written agreement. No public webpage or general policy changes a fee structure negotiated for a specific engagement.

Amounts identified as nonrefundable, earned when paid, or reserved for capacity will be treated as stated in the controlling agreement, subject to applicable law. Recurring services continue only for the term and under the renewal or termination rules in that agreement.

07

Late, Failed, Reversed, or Disputed Payments

If payment is late, fails, is reversed, or is disputed, MBWP may pause work, withhold deliverables or access, revise timelines, require cleared funds before resuming, and exercise other rights stated in the controlling agreement or allowed by law. Any late fee, collection cost, or interest applies only when authorized by the controlling agreement and applicable law.

Before initiating a chargeback or payment dispute, contact rcm@medicalbillingwithportia.com promptly so the parties can review the invoice, authorization, and services in good faith. This request does not waive any legal or contractual right.

08

Cancellations, Rescheduling, Suspension, and Termination

Consultations should be cancelled or rescheduled at least 24 hours in advance. A consultation may generally be rescheduled once, subject to availability. Repeated cancellations or missed appointments may require a new request for consideration.

Paid engagement cancellation, suspension, and termination rights are governed by the executed agreement. MBWP may decline or suspend work where payment, access, safety, legality, security, professional integrity, or mutual alignment is materially compromised.

09

Refunds and Credits

Refunds and credits are not automatic and are determined under the controlling agreement, the nature and status of the work, reserved capacity, expenses incurred, amounts earned, and applicable law. No refund is promised through the website, Calendly, Stripe, or a general inquiry. Approved refunds are issued through the original payment method when reasonably available.

10

Confidentiality, PHI, and Secure Access

Do not submit PHI, patient records, credentials, passwords, NPIs, tax IDs, payer credentials, or similarly sensitive information through the public site, assessment, Calendly, Stripe, or ordinary email. If an engagement requires PHI, the parties must first establish approved access, confidentiality and security requirements, and when applicable execute a BAA.

Clients must provide authorized, minimum-necessary, role-appropriate access through client-approved systems. Nothing on the public site authorizes access to any patient, payer, employee, or confidential system.

11

Intellectual Property and Work Product

Each party retains ownership of materials, methods, tools, systems, templates, trademarks, data, and intellectual property it owned or developed independently of the engagement. Ownership and permitted use of engagement-specific deliverables are defined in the controlling agreement. No website content, methodology, framework, branding, or proprietary infrastructure may be copied, resold, published, reverse engineered, or used to create a competing offering without written permission.

12

Third-Party Platforms

Our services may use or interact with third-party platforms such as Microsoft 365, Teams, Calendly, Stripe, healthcare systems, payer portals, clearinghouses, and client-selected technology. Availability, security, rules, fees, and performance of third-party services are controlled by their providers. MBWP is not responsible for a third party’s independent acts, outages, policy changes, or failures, but will use reasonable care in selecting and operating authorized tools within our control.

13

Disclaimers and Limitation of Liability

To the fullest extent permitted by law, public information and pre-engagement materials are provided on an "as available" basis without warranties not expressly stated in a signed agreement. Healthcare revenue outcomes depend on numerous client, payer, legal, operational, and market factors. Past experience and prior recoveries do not guarantee future results.

Liability limitations, exclusions, indemnities, remedies, and insurance obligations for paid services are governed by the executed agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

14

Electronic Records and Communications

You consent to conduct applicable business electronically and to receive appointment, contract, invoice, payment, security, and service communications at the contact information you provide. Electronic actions and records may have legal effect. You are responsible for keeping authorized contact and billing information current.

15

Governing Law and Venue

Unless an executed agreement provides otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute regarding these public Terms will be brought in a court of competent jurisdiction located in Delaware, except where applicable law requires another forum.

16

Changes and Severability

We may update these Terms prospectively by posting a revised version with a new effective date. Changes do not rewrite an executed agreement unless the parties amend that agreement in writing. If any provision is found unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.
